Terms of Service

1. Network terms

These terms govern use of fileads.com and participation in the FileAds network. Specific publisher or advertiser conditions may be set in insertion orders or dashboard agreements, which prevail where they conflict.

2. Publisher rules

• Traffic must come from real users choosing to download. Prohibited: incentivized clicks, misleading download buttons, auto-initiated downloads, adware bundles, and content promoting malware or piracy-adjacent deception.
• You are responsible for lawfully operating your site, its audience (no minors-directed placements), and the accuracy of any consent signals you pass to us.
• Placement configuration must respect the frequency and labeling rules in the dashboard. We may suspend placements that harm users or breach policy — notice follows for non-emergency cases.
• Fraud (including non-human traffic, click manipulation, conversion falsification) voids associated earnings and may end the account.

3. Advertiser rules

• Campaigns must comply with the laws of every targeted geo and with our content policy (no malware, no deceptive "download to continue" flows, no adult content on general-audience inventory).
• You warrant landing pages and offers are as represented; we may require pre-launch review. Conversion tracking must not collect more data than disclosed to users.
• Test budgets and minimums are set in the insertion order. Underperforming campaigns may be paused; payment is due for delivered, accepted events.

4. Payments

• Publisher payouts run weekly (Tuesday) for cleared earnings, minimum $10, via PayPal, wire, ACH or USDT. Payment details must match the account holder's verified identity.
• Advertiser budgets are prepaid or invoiced net-15 as agreed. Overdue advertiser balances accrue 2% monthly interest and pause delivery.
• Chargebacks, clawbacks and reversed events are netted against future earnings or invoices.

5. Data & confidentiality

Each party keeps the other's business data confidential. Placement data is processed per the Privacy Policy and applicable DPAs; aggregate and derived statistics may be used to operate and improve the network.

6. Warranties & liability

Services are provided with professional care but without warranty of specific revenue or conversion outcomes. To the maximum extent permitted by law: no indirect or consequential damages; aggregate liability capped at net amounts paid or payable in the six months before the claim; carve-outs for confidentiality, IP and liabilities that cannot lawfully be limited.

7. Suspension & termination

Either side may end participation with 14 days' notice; we may suspend immediately for fraud, malware or legal exposure. Final payouts occur per schedule after the last clearing period; held funds may be withheld where fraud is under investigation.

8. Law & venue
